1. Agreement
By accessing or using any website or product operated by Elevyum Inc. ("Elevyum," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our websites or products.
2. Products and Services
Elevyum develops and operates technology platforms including MedPro HQ, MedPro Field, MedPro Me, SupplyPro, and OpPro. Some products described on our websites may be in active development, and features, specifications, and availability are subject to change without notice. "Coming Soon" designations indicate products that are not yet publicly available.
3. Intellectual Property
All content, software, designs, logos, product names, and technology on our websites and in our products are the exclusive property of Elevyum Inc. or its licensors and are protected by United States and international intellectual property laws. The names Elevyum, MedPro, MedPro HQ, MedPro Field, MedPro Me, SupplyPro, and OpPro are trademarks of Elevyum Inc. Trademark registrations pending.
You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any of our intellectual property without prior written permission from Elevyum Inc.
4. Use of Websites
You agree to use our websites only for lawful purposes. You may not attempt to gain unauthorized access to any part of our websites, servers, or systems. You may not use any automated means to access or collect information from our websites without our written permission.
5. Product Accounts
Access to Elevyum products requires an authorized account. You are responsible for maintaining the confidentiality of your account credentials. For healthcare products, access is governed by additional agreements including HIPAA Business Associate Agreements and product-specific terms.
6. Medical Disclaimer
MedPro products are technology tools designed to support healthcare operations and clinical workflows. They are not certified medical devices and do not replace professional medical judgment. Clinical decisions remain the responsibility of licensed healthcare providers. MedPro Me is a patient information management tool and is not a substitute for professional medical advice, diagnosis, or treatment.
7. Limitation of Liability
To the maximum extent permitted by law, Elevyum Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our websites or products. Our total liability for any claim shall not exceed the amount you paid to us in the twelve months preceding the claim.
8. Indemnification
You agree to indemnify and hold harmless Elevyum Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our websites or products or your violation of these terms.
9. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.
10. Changes
We reserve the right to modify these terms at any time. Continued use of our websites or products after changes constitutes acceptance of the updated terms.
